The Capital Securities Center comprises specialized departments such as the Legal Affairs Department for Venture Capital and Private Equity Investment, the Legal Affairs Department for Corporate Listing and Issuance, the Multi-tier Capital Market Department, the Financial Securities Legal Affairs Department, and the Overseas Capital Market Department. Its business areas include: private fund investment business, including due diligence on target enterprises, transaction structure design, agreement drafting and negotiation, delivery and exit; stock issuance, listing, and financing business, including domestic A-share main board, small and medium-sized board, and growth enterprise board listings and financing business, as well as overseas red chips and equity listings and financing business in Hong Kong, New York, Singapore, the United Kingdom, Taiwan, etc.; NEEQ (National Equities Exchange and Quotations) listing business, including domestic enterprise restructuring, share reform, and NEEQ listing, delisting of overseas listed companies and their return to domestic NEEQ listing, and spin-off of domestic equity for NEEQ listing by overseas listed companies; pre-listing restructuring and reform business of enterprises, including due diligence on target enterprises, drafting of restructuring and reform plans, drafting of relevant legal documents, assisting target enterprises in completing government department filing and approval procedures, etc.; mergers and acquisitions (M&A) and restructuring business of listed companies, including major asset restructuring of listed companies (including backdoor listing, issuance of shares to purchase domestic and overseas assets), non-public issuance of stocks, general M&A business of listed companies, etc.; issuance and listing business of bonds and other securities, including overseas bond issuance by Chinese enterprises (such as US dollar bonds, euro bonds, RMB dim sum bonds, etc.), bond issuance in the interbank bond market (such as RMB bonds issued by overseas institutions in China), corporate bonds (such as urban investment bonds, etc.), financial bonds (such as financial bonds, subordinated bonds, hybrid bonds, etc.), non-financial enterprise debt financing instruments (such as short-term financing bonds, medium-term notes, etc.), bond issuance in the exchange market (such as listed company bonds, listed company convertible bonds, private placement bonds of small and medium-sized enterprises, etc.); perennial business of listed companies, including information disclosure consultation, related party transaction consultation, agreement review, corporate governance, and various daily legal services for companies.
